1. Acceptance of Terms
These Terms of Service (“Terms”) form a binding legal agreement between you and Infinite Universe, Inc. (a Delaware corporation, registered at 8 The Green, Ste A, Dover, DE 19901, United States; referred to as “Infinite Universe”, “we”, or “us”). By creating an account or accessing the Egonex mobile application, website, or any related services (the “Service”), you agree to be bound by these Terms and by our Privacy Policy.

If you do not agree, do not use the Service.
2. Eligibility and Account Registration
You must be at least 18 years of age to use the Service. By registering, you represent that you are 18 or older, that the information you provide is accurate and complete, and that you will maintain the accuracy of that information. You may not register on behalf of anyone else, impersonate others, or create more than one active account.
3. Permitted Use
Subject to these Terms, Egonex grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal, non-commercial purposes, including browsing matches, exchanging messages, and using AI-powered features.
4. Prohibited Conduct
You agree that you will not, and will not attempt to:
- Harass, threaten, stalk, or abuse any person.
- Post hate speech, sexual content involving minors, or content that sexualizes minors in any way.
- Engage in fraud, phishing, or deceptive practices.
- Send unsolicited commercial messages or spam.
- Use the Service for prostitution, escort, or similar services.
- Post content that infringes intellectual property rights, rights of publicity, or rights of privacy.
- Reverse engineer, decompile, disassemble, or tamper with the Service.
- Scrape, crawl, or index the Service without written permission.
- Circumvent rate limits, captchas, or other security mechanisms.
- Create, upload, or distribute malicious software or code.
- Misrepresent your identity or impersonate another person.
- Use automated bots, scripts, or AI-generated identities to impersonate real people.
- Solicit money, personal credentials, or sensitive information from other users.
- Share another user’s private information without consent.
- Use the Service to violate any applicable law, regulation, or third-party right.
Violations may result in content removal, account suspension, or permanent account termination, at our sole discretion.
5. User-Generated Content and License
You retain ownership of the content you post on the Service (“UGC”). By posting UGC, you grant Egonex a worldwide, royalty-free, sublicensable, transferable license to host, store, reproduce, modify, display, and distribute your UGC solely for the purposes of operating, promoting, and improving the Service. This license ends when your UGC is removed from the Service, except for backups and copies already shared with other users.
You are responsible for ensuring you have the necessary rights to post UGC. Egonex is not obligated to review UGC but reserves the right to remove content that violates these Terms.
We do not use your UGC to train third-party AI models without your separate, explicit consent. If that ever changes, we will notify you in advance.
6. Reporting, Moderation, and Blocking
Egonex provides in-app reporting and blocking tools, consistent with Apple App Store Guideline 1.2:
- Reporting. You can report any user or piece of content. We aim to respond to reports within 24 hours.
- Blocking. You can block any user; blocked users cannot message you or see your profile.
- Enforcement. We apply a tiered response — warning, temporary restriction, suspension, permanent ban — based on severity, history, and risk.
7. Paid Services and Subscriptions
Some features of the Service may be offered as one-time purchases or recurring subscriptions.
- iOS. All in-app purchases on iOS are processed through Apple In-App Purchase pursuant to Apple’s terms. Cancellations and refunds follow Apple’s policies.
- Web. Web-only purchases may be processed via Stripe.
- Auto-renewal. Subscriptions renew automatically at the end of each billing period unless cancelled at least 24 hours before renewal.
- Refunds. Except as required by law, purchases are non-refundable.
Payment terms specific to marketplace Collab Orders between Users are governed by Sections 8 through 10.
8. Marketplace Services and Collab Orders
- Platform role. Egonex provides a marketplace where Users may offer and purchase services from one another (each, a “Collab Order”). Egonex is not a party to any Collab Order between Users. Egonex does not endorse, guarantee, or assume responsibility for any User’s offerings, deliverables, conduct, or representations.
- Independent contractor relationship. Users who sell services through the platform (“Sellers”) are independent contractors. Nothing in these Terms creates an employment, agency, partnership, joint venture, or franchise relationship between Sellers and Egonex.
- Eligibility. To sell services, you must complete identity verification (Stripe Identity) and onboard a Stripe Connect account. Currently, only Sellers based in the United States are eligible to receive payments through the platform.
- Fees. Egonex collects a platform service fee equal to five percent (5%) of each completed Collab Order, deducted automatically from the Buyer’s payment before funds settle to the Seller.
- No advice; no endorsement. Listings, profiles, ratings, and content provided by Users do not constitute professional advice. You are solely responsible for evaluating each Seller and Service before purchase.
9. Order Lifecycle and 7-Day Final Policy

Order creation. A Seller initiates a Collab Order specifying the title, description, amount, and a delivery deadline of up to five (5) days from order creation.

Buyer payment. A Buyer (“Buyer”) authorizes payment by completing the Stripe-hosted checkout flow. Funds are placed on temporary hold and are not captured until the order is confirmed.

Delivery. The Seller must mark the order as delivered before the deadline. Marking delivery requires submitting a delivery message and at least one piece of supporting evidence (file, screenshot, or referenced message).

Buyer confirmation window. After the Seller marks delivery, the Buyer has forty-eight (48) hours to confirm receipt. If the Buyer confirms, or if the 48-hour period elapses without action, the order is automatically completed and funds are captured.

7-Day Final Policy.
An order is final seven (7) days after creation, or upon Buyer confirmation, whichever occurs first.
After an order becomes final, Egonex does not offer refunds, reversals, dispute mediation, or post-sale customer-service intervention.

Pre-final cancellation. Before an order is final:
- If the Seller fails to deliver by the deadline, the order is automatically cancelled and the Buyer’s payment authorization is released without charge.
- If the Buyer fails to pay within the order creation window, the order is automatically closed without charge to either party.
- Mutual cancellation may be arranged by either party with the consent of the other; upon mutual cancellation, the payment authorization is released.

No platform escrow. Egonex does not hold User funds. Payment processing, holding, and settlement are performed exclusively by Stripe (see Section 10).

Statutory rights. Nothing in this Section limits any non-waivable consumer rights you may have under applicable law, including the right to dispute unauthorized charges with your card issuer.
10. Payments, Payouts, and Disputes
- Stripe Connect. Marketplace payments are processed through Stripe Payments and routed via Stripe Connect “Direct Charges”. Funds flow directly from the Buyer’s payment method to the Seller’s Stripe Connected Account; Egonex’s platform service fee is deducted by Stripe at the time of capture. Egonex does not custody Buyer or Seller funds at any time.
- Buyer authorization. By purchasing a Collab Order, you authorize Stripe to charge your payment method for the order amount upon confirmation (or automatic confirmation under Section 9). You represent that you are authorized to use the payment method provided.
- Seller payouts. Once captured, funds become available in the Seller’s Stripe Connected Account, subject to Stripe’s standard settlement schedule. Sellers manage their payout schedule (manual, daily, weekly, or monthly) and bank account details directly through their Stripe Express Dashboard.
- Currency. All transactions are denominated in United States Dollars (USD).
- Taxes. Sellers are solely responsible for determining, collecting, reporting, and remitting any taxes arising from their use of the Service. Stripe may issue Form 1099-K or 1099-NEC to U.S. Sellers as required by applicable tax law.
- Chargebacks. If a Buyer initiates a chargeback or payment dispute with their card issuer, Egonex may, at its discretion, contest the chargeback using evidence provided by the Seller (including delivery messages, attachments, communications, and order timestamps). The Seller is responsible for amounts ultimately reversed in favor of the Buyer; Egonex reserves the right to recover associated fees and losses from the Seller’s future earnings.
- No payment-method handling. Egonex does not store full payment-card numbers. All cardholder data is collected and handled by Stripe in a PCI-DSS-compliant environment.
11. AI Features — Important Disclaimer
Parts of the Service use AI systems to suggest matches, summarize conversations, or provide companionship-style dialogue.
- AI matching is not a guarantee of compatibility, suitability, or safety. Always exercise your own judgment.
- AI responses may contain errors, biases, or outdated information. Do not rely on AI output for professional, medical, legal, or financial advice.
- If you are in crisis (for example, thoughts of self-harm or suicide), contact emergency services immediately. In the United States, you can call or text 988 (Suicide & Crisis Lifeline). Outside the United States, contact your local emergency number.
12. SMS Messaging Terms
By providing your phone number and triggering an SMS verification flow (e.g., tapping “Send Verification Code” in the mobile app or clicking “Send code” on the web), you consent to receive transactional SMS messages from Egonex for account-related purposes, including:
- One-time password (OTP) verification codes for sign-up, sign-in, phone number change, and other sensitive account actions.
These messages are sent from the U.S. toll-free number +1 (833) 602-1954 through our SMS service provider Telnyx, Inc.
Opt-out. You may opt out of SMS at any time by replying STOP to any SMS from Egonex. HELP replies will return support contact information. See our Privacy Policy, Section 4 for full SMS practices.
Message frequency. Variable, based on your interaction with the Service (typically one OTP per authentication request). Message and data rates may apply depending on your wireless carrier and plan. Carriers are not liable for delayed or undelivered messages.
No marketing SMS. Egonex does not send marketing or promotional SMS on this number. If we ever introduce marketing SMS in the future, it will be a separate opt-in process with explicit consent.
13. Intellectual Property
The Service, including its software, trademarks, logos, and visual design, is owned by Egonex or its licensors and is protected by intellectual property laws. These Terms do not grant you any right in Egonex’s trademarks, logos, or trade dress. DMCA notices may be sent to dmca@egonex.ai.
14. Termination and Account Deletion
You may terminate your account at any time through Settings → Account Security → Delete Account. Account deletion follows the lifecycle described in Section 7 of the Privacy Policy. Egonex may terminate or suspend your account at any time for violation of these Terms. Sections 5, 8, 9, 10, 11, 15, 16, and 17 survive termination.
15. Disclaimers and Limitation of Liability
The Service is provided on an “AS IS” and “AS AVAILABLE” basis. Egonex disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, and accuracy.
To the maximum extent permitted by law, Egonex’s total aggregate liability arising out of or in connection with the Service is limited to the greater of (a) USD 100 or (b) the amount you paid to Egonex during the twelve (12) months preceding the claim. Egonex is not liable for indirect, incidental, special, consequential, or punitive damages.
Some jurisdictions do not allow certain warranty disclaimers or limitations of liability; in those jurisdictions, our liability is limited to the greatest extent permitted by law.
16. Arbitration and Class Action Waiver
PLEASE READ CAREFULLY — THIS SECTION AFFECTS YOUR LEGAL RIGHTS.
Any dispute arising out of or relating to these Terms or the Service shall be resolved through final and binding individual arbitration administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules. You and Egonex agree that no class, collective, or representative proceedings are permitted.
30-day opt-out. You may opt out of this arbitration agreement by emailing legal@egonex.ai within 30 days of first accepting these Terms. Include your name, email, and a clear statement that you opt out. Small claims court remains available to both parties.
17. Severability
If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in full force. The invalid provision will be replaced with a valid provision that most closely reflects the intent of the original.
18. Governing Law
These Terms are governed by the laws of the United States and the State of Delaware, without regard to conflict-of-laws principles. Venue for non-arbitrable claims is the state and federal courts located in Delaware.
